Domain Name Registration Agreement

This Agreement governs your use of domain name registration and related services provided by Evolving Media & Design Inc. (operating as “Evolving Media”, “we”, “us”, or “our”). By purchasing or managing a domain name through us, you (“you” or “Client”) agree to be bound by this Agreement, along with our general Terms and Conditions, Privacy Policy, and any applicable registry policies.
1. Our Services
We act as a reseller of domain name registration services through accredited registrars (such as NameCheap or eNom). We offer:
- New domain name registrations
- Domain renewals and transfers
- Aftermarket (premium) domain names
- Domain management services
Domain registrations are subject to the policies of ICANN, the relevant registry operators, and this Agreement.
2. Your Obligations
- You are responsible for providing and maintaining accurate, complete, and up-to-date contact information (including WHOIS data).
- You warrant that the domain name does not infringe any third-party rights and is not being registered for any unlawful purpose.
- You must keep your account credentials secure. You are responsible for all activity under your account.
- You agree not to use domains for spam, illegal activities, or actions that could harm our network or reputation.
3. Domain Registration Term and Renewal
- Domain names are registered for fixed terms. It is your responsibility to renew them before they expire.
- We will send renewal reminders to the email address on file, but you are ultimately responsible for timely renewal.
- We may offer a grace/reactivation period after expiration (at our discretion and subject to additional fees). After this period, the domain may be deleted, auctioned, or made available to others.
4. Fees and Payment
- All fees are non-refundable unless otherwise stated.
- You authorize us to charge your chosen payment method for registration, renewal, and any applicable fees.
- Late payments or chargebacks may result in suspension or cancellation of services, plus applicable reinstatement fees (currently $200).
- We may change pricing with notice; changes apply to future renewals.
5. Transfers and Locks
- New registrations and transfers are subject to a 60-day transfer lock as required by ICANN.
- You may transfer your domain away from us after the lock period, subject to ICANN’s transfer policy.
- We may place a Registrar Lock on your domain for security.
6. Changes to Agreement
- We may update this Agreement from time to time. Continued use of our services after changes constitutes your acceptance. If you do not agree to material changes, you may transfer your domain(s) to another registrar before the changes take effect.
7. Termination and Suspension
- We may suspend or terminate services for cause (e.g., non-payment, breach of terms, illegal use, or abuse). We will make reasonable efforts to notify you where required.
- Upon termination, you remain responsible for any outstanding fees, and we retain the right to cancel or transfer domains as permitted by policy.
8. Privacy and WHOIS Data
- You consent to the collection and disclosure of your registration data as required by ICANN and registry rules. Some registries require public WHOIS; others allow privacy services where available.
9. Dispute Resolution
- You agree to be bound by the Uniform Domain Name Dispute Resolution Policy (UDRP) and any applicable registry dispute policies. Disputes between you and third parties regarding domain names must be resolved through those procedures.
10. Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
- Loss or suspension of your domain
- Interruptions in service
- Third-party claims
- Indirect, incidental, or consequential damages
Our total liability shall not exceed the amount you paid for the relevant domain registration service.
11. Indemnity
- You agree to indemnify and hold us, our suppliers, ICANN, and registry operators harmless from any claims, damages, or expenses (including legal fees) arising from your registration or use of the domain name.
12. Governing Law
- This Agreement is governed by the laws of Canada and the Province of Ontario. You agree to the exclusive jurisdiction of the courts of Ontario for any disputes.
