FLYING CAMERA (MICRO DRONE) SERVICES AGREEMENT

Please read this Agreement carefully. By ordering or using our Flying Camera (micro drone) services, you agree to be bound by this Agreement, including our Privacy Policy, Commercial Photography Agreement, and Acceptable Use Policy, which are incorporated by reference.

This Agreement is between Evolving Media & Design Inc. (referred to as “Evolving Media”, “we”, “us”, or “our”), and the client named on the estimate, proposal, or order form (“Client” or “you”).

It covers aerial photography, videography, and related services performed with a microdrone weighing less than 250 grams (currently the HoverAir X1 Pro).

1. Equipment and Regulatory Status

1. Services are performed using a microdrone weighing under 250 grams.
2. Operations fall under Transport Canada’s microdrone rules. No pilot certificate or aircraft registration is required for this class of drone when operated in accordance with the applicable safety rules.
3. We fly in compliance with Transport Canada regulations, including but not limited to remaining within visual line of sight, not flying higher than necessary for the intended purpose, and avoiding people, animals, vehicles, and sensitive areas unless appropriate permissions are in place.
4. We reserve the right to refuse or modify any flight that we determine cannot be conducted safely or legally.

2. Scope of Services

1. Services typically include aerial photography and/or video capture as described in the approved estimate or proposal.
2. Deliverables, resolution, and file formats will be specified in the proposal (e.g., high-resolution stills and/or video up to the maximum capability of the aircraft).
3. Flight time, number of batteries, and weather contingency plans will be discussed and confirmed before the shoot.

3. Booking, Cancellation, and Weather

1. A booking is confirmed once you approve the estimate/proposal and we send written confirmation.
2. Cancellation fees follow the same schedule as our Commercial Photography Agreement:
   • More than 10 business days before the shoot: $40 administration fee.
   • 10 business days or fewer before the shoot: 20% of the booked fee.
3. Weather, wind, precipitation, or other conditions beyond our control may require postponement. In such cases, we will reschedule at no additional charge for the first postponement. Subsequent postponements or cancellations may incur reasonable additional costs (travel, time, etc.).

4. Client Responsibilities and Site Access

1. You are responsible for obtaining all necessary permissions from property owners, event organizers, or authorities for the location(s) where we will fly.
2. You must inform us in advance of any known hazards, restricted airspace, or special conditions at the location.
3. You or your authorized representative must be present (or reachable by phone) during the shoot unless otherwise agreed.

5. Copyright and Usage Rights

1. Copyright and ownership of all images and video remain with Evolving Media & Design Inc. / Jeff Poissant, RGD, unless otherwise agreed in writing and paid for in full.
2. Usage rights are granted according to the licence specified on the invoice or proposal (same structure as our Commercial Photography Agreement).
3. Model and property releases, if required, remain the Client’s responsibility unless we have agreed in writing to obtain them.

6. Payment Terms

1. Standard terms: 50% deposit to confirm the booking + remaining balance on the day of the shoot (or as otherwise stated in the proposal).
2. We accept INTERAC e-Transfer only.
3. Late payment terms and interest follow the same rules as our Commercial Photography Agreement.

7. Liability and Safety

1. We take reasonable care in performing all flights. However, microdrone operations involve inherent risks (weather, technical issues, obstacles, etc.).
2. To the maximum extent permitted by law, Evolving Media’s liability is limited to the amount paid for the specific Flying Camera services.
3. You agree to indemnify and hold us harmless from claims arising from your failure to obtain necessary permissions, inaccurate information provided about the site, or use of the deliverables beyond the granted licence.

8. Deliverables and Editing

1. We edit and deliver what we consider the best material from the flight(s).
2. Basic colour correction and selection are included. Extensive editing, colour grading, music licensing, or advanced post-production are available at additional cost.

9. Governing Law

This Agreement is governed by the laws of Canada and the Province of Ontario. Both parties agree to the exclusive jurisdiction of the courts of Ontario.

10. Entire Agreement

These terms, together with the approved estimate/proposal and any related documents, constitute the entire agreement. Changes must be agreed in writing.

Acceptance Your signature (or electronic confirmation) on the estimate, proposal, order form, or project confirmation constitutes acceptance of these Terms and Conditions.
